Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AI-powered data agent and document processing services provided by AgamiAI Inc. and AgamiAI Technologies India Private Limited (collectively, "AgamiAI", "we", "us", or "our"). By accessing or using our Services, you agree to be bound by these Terms.

1. Definitions

• "Services" means AgamiAI's AI-powered data agents, document extraction tools, analytics interfaces, APIs, and related software
• "Customer" means the organisation or individual that has entered into an agreement with AgamiAI to access the Services
• "End User" means an individual authorised by a Customer to use the Services
• "Data" means any documents, records, files, or information submitted to the Services by the Customer or End User

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or your organisation. By using the Services, you represent that you meet these requirements.

3. Account and Access

You may access the Services using Google OAuth. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorised access at founders@agami.ai

We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.

4. Permitted Use

You may use the Services solely for your organisation's internal business purposes:

• Uploading and processing financial documents for extraction and classification
• Connecting operational databases for analytics and reporting
• Reviewing and exporting processed outputs

5. Prohibited Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of applicable regulations
• Upload data or documents you do not have the right to process
• Attempt to reverse engineer, decompile, or extract our AI models or underlying systems
• Resell, sublicense, or provide access to the Services to third parties without our written consent
• Transmit malicious code, viruses, or disruptive data
• Use the Services to train, benchmark, or evaluate competing AI systems

6. Data Ownership and Licence

You retain all ownership rights to your Data. By submitting Data to the Services, you grant us a limited, non-exclusive licence to process that Data solely to deliver the Services to you.

We do not claim ownership over your Data. We do not use your Data to train our AI models or for any purpose beyond delivering your requested output.

7. Confidentiality

Each party agrees to keep the other party's confidential information strictly confidential and not to disclose it to any third party without prior written consent, except as required by law. Your Data is treated as confidential by default.

8. Intellectual Property

The Services, including our software, AI models, interfaces, and documentation, are the exclusive property of AgamiAI and are protected by applicable intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you, except for the limited licence to use the Services as described herein.

9. Payment and Billing

Pricing, billing terms, and payment obligations are set out in your separate Order Form or Master Service Agreement. All fees are non-refundable unless otherwise specified in writing.

10. Service Availability

We will endeavour to provide the Services with reasonable uptime and reliability but do not guarantee uninterrupted availability. Specific service level commitments, if applicable, will be set out in a separate agreement.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, AGAMAI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI-generated outputs are provided for informational purposes. You are responsible for independently verifying any extracted data or analytical outputs before relying on them for business decisions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGAMAI'S AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnification

You agree to indemnify and hold harmless AgamiAI, its officers, directors, employees, and agents from any claims, losses, or damages arising from (a) your use of the Services in violation of these Terms, (b) your Data, or (c) your violation of any applicable law or third-party rights.

14. Term and Termination

These Terms remain in effect as long as you use the Services. Either party may terminate access at any time.

• Upon termination, your right to access the Services ceases immediately
• We will delete your Data upon your written request following termination
• Sections 6, 8, 11, 12, 13, and 15 survive termination

15. Governing Law and Dispute Resolution

15.1 India-based Customers

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka.

15.2 US-based Customers

These Terms shall be governed by the laws of the State of Delaware. Any disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association, with proceedings in Delaware.

15.3 Other Jurisdictions

For customers outside India and the United States, US law and jurisdiction applies as described in Section 15.2.

16. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

17. Miscellaneous

• Entire Agreement: These Terms, together with any Order Form or MSA, constitute the entire agreement regarding the Services
• Severability: If any provision is found unenforceable, the remaining provisions remain in full force
• Waiver: Failure to enforce any right does not constitute a waiver of that right
• Assignment: You may not assign these Terms without our prior written consent
