These Terms of Service ("Terms") are a binding agreement between you and AgamiAI Inc. and AgamiAI Technologies India Private Limited (collectively, "AgamiAI", "we", "us", or "our") and govern your access to and use of our AI-powered analytics platform, websites, demo environment, APIs, and related services (the "Services"). By accessing or using the Services, or by clicking to accept these Terms, you agree to be bound by them. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
1. The Services
The Services let you ask questions in natural language and receive answers generated with the help of artificial intelligence. We may offer a demonstration or evaluation environment ("Demo") that operates on publicly available datasets. The Demo is provided for evaluation purposes, may change or be discontinued at any time, and may be subject to usage limits.
2. Eligibility and Accounts
You must be at least 18 years old to use the Services. You may access the Services by signing in with a supported identity provider (such as Google or Microsoft). You are responsible for activity that occurs under your account and for maintaining the confidentiality of your credentials. Notify us promptly of any unauthorized use at contact@agami.ai.
3. Acceptable Use
You agree not to, and not to permit others to:
- Use the Services in violation of any applicable law or regulation, or to infringe the rights of others;
- Submit data you do not have the right to use, or any sensitive, confidential, or personal data into the Demo;
- Probe, scan, or test the vulnerability of the Services, or circumvent any security, authentication, or rate-limiting measures;
- Reverse engineer, decompile, or attempt to extract the source code, models, or underlying technology of the Services;
- Use the Services, or any output, to develop, train, or improve a competing product or model;
- Resell, sublicense, or provide access to the Services to a third party except as expressly permitted;
- Transmit malware or interfere with the integrity or performance of the Services.
4. AI Output
The Services use artificial intelligence to generate responses, queries, charts, and other output ("Output"). Given the nature of AI, Output may be inaccurate, incomplete, or otherwise not appropriate for your situation, and may not be unique across users. Output is provided for informational purposes only and does not constitute professional advice. You are responsible for evaluating and verifying Output before relying on it, and for any decisions you make based on it. Do not rely on Output for decisions with legal, financial, medical, employment, or other significant consequences without independent verification by a qualified professional.
5. Your Content and Usage Data
As between you and us, you retain any rights you hold in the inputs you submit and the Output you receive ("Customer Content"). You grant us a non-exclusive, worldwide license to host, process, and use Customer Content as needed to provide, secure, and maintain the Services.
We collect and process data about how you interact with the Services, including the questions you ask, generated queries, results, feature usage, and technical logs ("Usage Data"). We use Usage Data to operate, analyze, secure, and improve our products and services, and we may communicate with you about the Services. Our collection and use of personal information is described in our Privacy Policy.
6. Intellectual Property
The Services, including our software, models, interfaces, and documentation, are and remain the exclusive property of AgamiAI and its licensors and are protected by intellectual property laws. Except for the limited right to use the Services under these Terms, no rights are granted to you.
7. Third-Party Services
The Services interoperate with third-party tools and AI assistants (for example, AI clients that connect via the Model Context Protocol) and rely on third-party providers such as cloud hosting and large language model providers. Your use of those third-party services is governed by their own terms, and we are not responsible for them.
8. Disclaimers
EXCEPT TO THE EXTENT PROHIBITED BY APPLICABLE LAW, THE SERVICES AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE OR RELIABLE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. SERVICES PROVIDED FREE OF CHARGE, INCLUDING THE DEMO, ARE PROVIDED WITHOUT ANY LIABILITY ON OUR PART; WHERE A FULL EXCLUSION OF LIABILITY IS NOT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO FREE SERVICES INCLUDING THE DEMO, REGARDLESS OF THE NUMBER OF CLAIMS OR THE FORM OF ACTION (WHETHER IN CONTRACT, TORT, OR OTHERWISE), WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100) IN THE AGGREGATE. FOR ANY PAID SERVICES, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD OR FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE.
10. Indemnification
You will defend, indemnify, and hold harmless AgamiAI and its officers, directors, employees, and agents from and against any claims, losses, and expenses arising out of (a) your use of the Services in breach of these Terms, (b) Customer Content you submit, or (c) your violation of any law or third-party right.
11. Term and Termination
These Terms apply while you use the Services. You may stop using the Services at any time. We may suspend or terminate your access at any time, including if we believe you have violated these Terms or to protect the Services. Sections 4 through 6 and 8 through 14 survive termination.
12. Governing Law and Disputes
If you are based in India, these Terms are governed by the laws of India and the courts of Bengaluru, Karnataka have exclusive jurisdiction. If you are based in the United States or elsewhere, these Terms are governed by the laws of the State of Delaware, USA, and disputes will be resolved by binding arbitration under the rules of the American Arbitration Association, seated in Delaware. Each party waives any right to a jury trial and to participate in a class action.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms with a new "Last updated" date and, where appropriate, by email. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.
14. General
If any provision of these Terms is held invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of it.
